LLC Changes

Limited liability company

Every LLC has a legal obligation to register any data change in the QKB announced during the initial registration, according to Article 43 of Law No. 9723/2007. The LLC change process at QKB is necessary to ensure data accuracy. Failure to register results in an administrative fine.

Changes are applied online through e-Albania, free of charge, and within 1 business day.

Mandatory changes

The law requires immediate registration of the following changes:

✔ Administrator Change (New Appointment, Dismissal, Term Change)
✔ Change in registered capital (increase or decrease)
✔ Transfer of shares between partners or to third parties
✔ Change of registered office (main address or additional addresses)
Change of activity object
✔ Company Name Change
✔ Change duration
✔ Submission of annual financial statements and audit report (when required)
✔ Appointment or dismissal of the certified public accountant
Appointment of liquidators and dissolution deeds
✔ Acts of transformation, merger, or division
✔ Placing collateral or guarantees on capital quotas

The change does not produce effects on third parties without being registered. This is especially true for a change of administrator; until their registration with the National Business Center (QKB), the old administrator remains legally valid.

If the statute or deed of incorporation is amended, the full text of the document with subsequent amendments shall be deposited.

Voluntary changes

They can be registered voluntarily:

✔ Trade name or distinctive signs of activity
Website, email, phone, and fax
✔ Decisions of governing bodies (suspension of activity, etc.)
Any other data related to economic activity

How to apply for changes

Changes are applied by logging in as a business on e-Albania. This is the main difference from the initial registration, which is done as an individual (citizen).

Steps of the procedure

  1. Identify yourself as a business on e-Albania.
  2. Select the above service and click “Use.”
  3. Fill out the form with the change details.
  4. Upload accompanying documentation.
  5. Click “Send” and then “Send signature code.”
  6. Enter the code and click “Subscribe.”
  7. QKB reviews and makes a decision within 1 business day.
  8. The notification arrives via email and through MySpace on e-Albania.

Cost: Free of charge. Turnaround: 1 business day. Public holidays do not count.

Caution: Electronic signature is mandatory.

Documentation

✔ Power of attorney or proxy, if the applicant is not the administrator
Decision of the competent body (usually the assembly) that certifies the change
✔ Any other act required by the type of change

The documents provided by the administration do not need to be brought by you.

Examples of documentation by type of change

Change of administrator: assembly decision for appointment or dismissal and identification document of the new administrator.
Transfer of quotas: purchase agreement signed by the parties.
Capital change: assembly resolution and, if the capital has been paid, the bank mandate.
Change of registered office: decision of the administrator or the assembly.
Change of object: assembly decision and amended statute with full text.

Temporary suspension of activity

If the LLC suspends its activity, it must notify the QKB. After registration, the company's status will be marked as “Suspended.”

Caution: A company that has not conducted business for 2 years and has not reported the suspension may be primarily deregistered by the QKB.

Is it a personal logo or a business logo?

It's a business. This is the main difference from the initial registration.

What document is needed to change the administrator?

Decision of the assembly for appointment or dismissal and identification document of the new administrator. The change takes effect only after registration in the NACC.

How soon should the change be registered?

The law does not specify a specific deadline, but the change does not produce effects on third parties before registration. It is recommended immediately after the assembly's decision.

Is an electronic signature required?

All applications on e-Albania require a valid electronic signature.

Can I change the company name?

By, by assembly decision. The new name is verified for availability during the application.

Am I obligated to notify the QKB if I cease operations?

According to the announcement, after 2 years, the CBIC can primarily deregister.
