Calendar of the filing deadline for financial statements at the QKB

Every year your business has two main milestones. By March 31, the annual profit tax return is filed with the Tax Office. By July 31, the previous year's financial statements are filed with the Business Registry after being approved by the partners' assembly. When these two deadlines are on the calendar as early as January, year-end holds no surprises.

The two deadlines and what they contain

The first stop is the tax office. The annual profit tax return is filed with the tax administration by March 31. It is based on the year's accounting results, so the books must be closed before then. You can find the tax rates and rules explained in the cluster. Tax legislation.

The second station is accounting. According to Article 22 of Law No. 25/2018, financial statements must be filed with the QKB within seven months of the end of the fiscal year, that is, by July 31 for a year ending on December 31. Before filing, they are approved by the assembly; even if the company has a sole partner, approval is made by his decision.

What you file depends on the category. Microentities with a SKK of 15 file a simplified set of statements. Other entities file the full set according to the SKK, including a balance sheet, an income statement, and explanatory notes.

Two reliefs and protections you should know. Microentities with annual revenues under 5,000,000 LEK are exempt from filing statements with the QKB until December 31, 2027. On the other hand, failure to file or late filing is punishable by a 15,000 LEK fine under Law 9723. The fine is not a reason to panic; it's simply a reason to keep the deadline on your calendar.

A calculated example

Artan's bar-restaurant in Vlorë closed the year 2025 with revenues of 32,000,000 LEK and 8 employees, a micro-entity with SKK 15. Its calendar looks like this.

From January through February 2026, the accountant closes the books, reconciles the bank and inventory. Before March 31, he files the income tax return. In May, the assembly—in his case by the sole proprietor's decision—approves the financial statements. In June, the accountant files them with the QKB, one month before the July 31 deadline. The cost of delay would be a 15,000 LEK fine plus a negative mark on the company's record that banks see when Artani applies for a loan. The cost of meeting the deadline is zero.

The basis for filing is Article 22 of Law No. 25/2018, within seven months from the end of the fiscal year and after approval by the competent body of the unit. The penalty for failure to file arises from Law No. 9723 on business registration. A practical point often overlooked is the order of the documents. The assembly resolution must be dated before the filing, and the submitted statements must match the March 31 profit and loss statement, figure for figure. Discrepancies between the two documents are among the first red flags in tax audits.

If my business hasn't had any activity, do I have to file financial statements?

Passive status has its own rules and depends on your registration with Tax Authorities and the Business Registry. Don't assume that silence is enough, because formal obligations may continue. Ask an economist before leaving the year open.

Who signs the financial statements?

The financial statements bear the administrator's responsibility and are prepared by the accounting professional. They are approved by the assembly before being filed with the QKB.
